2. Purpose
South Pole is one of the leading developers of emissions reduction projects worldwide. These include forestry, renewables, waste management and energy access projects across five continents. The Platform is South Pole’s platform for the calculation and compensation of emissions (the ‘Platform’). The platform enables individuals and organizations (‘Users’) to measure, track and compensate their emissions. It also enables South Pole’s community to take climate action by contributing to emissions reduction projects to offset unavoidable emissions.
3. General
These conditions govern the use of the Platform. By using the Platform, you agree to and accept these terms.
The Company reserves the right to adjust and update these Terms of Use. Any such adjustment will be available on the Platform and through your continued use of the Platform, you agree to the updated Terms of Use. Users are asked to read the Terms of Use each time the Platform is used.
4. Registration
To use the Platform, you will need to go through a registration process. In order to utilize all the features of the Platform, it is important that you provide as accurate and up-to-date information as possible.
5. Protected Content
It is expressly prohibited to modify, reproduce, duplicate, copy, print, translate, transfer, distribute, sell, rent, lend or otherwise exploit the contents of the Platform for commercial purposes without the written permission of the Company. All content in the Platform is protected by the Copyright Act and other statutory protection.
You may only use the Platform for the express purpose described above.
6. Third Party Providers
The User acknowledges that the Services may enable or assist it to access the website content of, correspond with, and purchase products and services from, third parties via third-party websites and that it does so solely at its own risk. The Company makes no representation, warranty or commitment and shall have no liability or obligation whatsoever in relation to the content or use of, or correspondence with, any such third-party website, or any transactions completed, and any contract entered into by the User, with any such third party. Any contract entered into and any transaction completed via any third-party website is between the User and the relevant third party, and not the Company. The Company recommends that the User refers to the third party's website terms and conditions and privacy policy prior to using the relevant third-party website. The Company does not endorse or approve any third-party website nor the content of any of the third-party website made available via the Services.
7. User's Obligations
You are responsible for maintaining the security of the login information required to gain access to the Platform and not sharing such information with third parties. You are responsible for keeping your password secret, which together with your username, constitutes your login details to the Platform.
You may not use other people’s information and or log in to an account that is not intended for you. You are always responsible for your account, regardless of whether anyone else has used it, with or without your permission. It is forbidden to copy, use or forward any other User’s user information. If you find that someone has used your account information, contact the Platform immediately through the contact form which you can find at the bottom of the platform. You are responsible for entering correct user information when registering with the Platform. Users who breach the Terms of Use can be suspended from the Platform at any time and without notice and have their account deleted.
8. Representation and Warranties
The Company:- a. does not warrant that:
- i. the User's use of the Services will be uninterrupted or error-free; or
- ii. the Software or the Services will be free from Vulnerabilities or Viruses; or
- iii. the Software, Documentation, or Services will comply with any Heightened Cybersecurity Requirements.
- b. is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet, and the User acknowledges that the Services and Documentation may be subject to limitations, delays and other problems inherent in the use of such communications facilities.

9. Proprietary Rights
The User acknowledges and agrees that the Company and its licensors own all intellectual property rights in the Services. Except as expressly stated herein, this Terms of Use does not grant the User any rights to, under or in, any patents, copyright, database right, trade secrets, trade names, trade marks (whether registered or unregistered), or any other rights or licenses in respect of the Services or the Documentation.
The Company confirms that it has all the rights in relation to the Services and the Documentation that are necessary to grant all the rights it purports to grant under, and in accordance with, the terms of this Terms of Use.
10. Personal Data and Privacy
All information you share in the Platform regarding your life patterns will be handled under the confidentiality of the Company. Part of the data will be used to generate anonymized statistics.
The company complies with the rules which, according to the Data Protection Regulation (GDPR), intend to protect the user’s privacy. The Privacy Policy provides information on how we process your personal information and how we protect your privacy when using the Platform. By agreeing to these User Terms, you consent to the processing of your personal data as stated in the Company’s Privacy Policy.
11. Accessibility and Technical Errors
The Company strives for the Platform to be free from technical errors but unfortunately cannot guarantee this. Nor can the company guarantee that the Platform works flawlessly in all situations. Features can, for example, on a few occasions, shut down for maintenance, update and/or for any other reason be out of order. Further obligations for the Platform around that can be found in the Service Level Terms of Use (SLA).
Users may not assign, sublicense or otherwise transfer any of the rights under these Terms of Use.

13. Account Closure
Users may terminate their account at any time and discontinue their use of the Platform by contacting the platform through the contact form which you can find at the bottom of the platform.
14. Disclaimer and Liability
The Company has the right at any time to suspend a User and terminate an account that violates these User Terms or uses the Platform in a manner that could cause the Company or a third-party damage.
Disputes arising from these User Terms or the use of the Platform shall be governed and construed in accordance with the laws of England and Wales without regard to its conflict of laws, principles or rules and each Party irrevocably submits to the jurisdiction of the English Courts.
15. Miscellaneous
The Company has the right to transfer its rights and obligations under these User Terms.
